Terms of Service
Last updated November 8, 2026.
These terms are the agreement between you and LogicRelay LLC, an Ohio limited liability company (“LogicRelay”, “we”, “us”). They cover your board and every request we work on it. You accept them when you check out for a board. If you accept them for a business, you confirm you can bind that business, and “you” means the business. You must be at least 18.
Definitions
- Board: your shared workspace where requests are listed, ordered, delivered and approved.
- Request: one finished piece of work you can approve, as described on your board.
- Deliverable: what we hand you for a request.
- Your Materials: anything you or your team give us: files, data, content, credentials, instructions and feedback.
- Our Tools: code, templates, components, methods and know-how we had before your work, or build for general use while doing it.
Your board
Your board is billed monthly to the card you add at checkout, at the board price on our pricing page. Each month from the day you check out is a billing month. Scoping your first requests is included.
We review every new board. If we decide we’re not the right fit, before or after scoping, we refund every board fee you’ve paid.
Requests and approval
You set the order of requests on your board, and we work it from the top. When we deliver a request, you either approve it or ask for changes. Changes must stay within what the request described. Anything beyond that is a new request.
A request you haven’t approved or answered within 5 business days of delivery counts as approved.
We may decline any request, including anything unlawful, infringing, deceptive or harmful. We’ll tell you why.
Pricing and billing
Each approved request is billed at the per-request rate on our pricing page. The rate for a billing month is set by how many requests you approve in it, and it applies to every request approved in it. Nothing is billed until you approve it.
At the end of each billing month we charge your card on file for the requests you approved in it, together with the next month’s board fee. Prices don’t include sales tax, which we add where required.
If a charge fails or an invoice is more than 15 days overdue, we pause work on your board until it’s paid.
We may change our prices with 30 days’ notice by email. A change never affects requests already approved.
Third-party costs
Some work has costs that aren’t labor: printing, postage, stock imagery, fonts, software licenses, hosting, app store fees and similar. We bill these to you at cost, with no markup, alongside your requests. We ask for your approval before taking on any single cost over $100.
Defects
If a deliverable doesn’t do what its request described, tell us within 30 days of approving it, and we’ll fix it at no charge. This covers mistakes in our work. It doesn’t cover new features, changed requirements, or problems caused by changes made by someone else or by third-party services.
Ownership
Deliverables are yours once paid for. When you’ve paid for a request, we assign to you all our rights in its deliverable, except Our Tools. Until then, the deliverable stays ours.
We keep Our Tools. Where Our Tools are part of a deliverable, you get a permanent, worldwide, royalty-free, non-exclusive license to use, copy and modify them as part of that deliverable. You don’t need to credit us.
Third-party components such as open-source code, fonts and stock imagery stay under their own licenses. We’ll tell you when a license puts terms on you.
Our portfolio. We may show your deliverables in our portfolio and marketing. If you’d rather we didn’t, tell us in writing and we’ll stop.
Your Materials
Your Materials stay yours. You give us permission to use them only to do your work and run your board. You confirm you have the rights to everything you give us, and that we can use it this way.
Confidentiality
Each of us will keep the other’s confidential information private, and use it only for the work under these terms. For us, that includes Your Materials and everything on your board. For you, it includes our non-public pricing, methods and Our Tools.
This doesn’t cover information that is public through no fault of the receiving party, was already known to it, was independently developed, or was rightfully received from someone else. Either of us may disclose confidential information when the law requires, after notifying the other where the law allows.
AI and subcontractors
We use AI tools to help produce work. Your Materials may be processed by AI providers we use, under their business terms. A person reviews every deliverable before it reaches you.
We may use subcontractors. They’re bound by the same confidentiality as we are, and we’re responsible for their work.
Cancellation
You can cancel anytime by emailing us. Your board stays open through the end of the billing month you’ve paid for. Board fees aren’t refunded, except as described under “Your board.” Requests you’ve already approved are still billed.
After your board closes, you have 30 days to export it. Deliverables you haven’t paid for stay ours.
We may also close your board, with notice. If we do, we bill only for requests you’ve approved and refund that billing month’s board fee.
Warranties
The defect fix above is our warranty. Apart from it, and to the extent the law allows, our work is provided “as is”, without other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
Neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if warned they were possible.
Our total liability for any claim under these terms is limited to the greater of what you paid us in the 3 months before the claim arose, or $100.
These limits don’t apply to fraud, or to anything the law doesn’t allow us to limit. They don’t limit what you owe us for work you approved.
Any claim must be brought within 1 year of when it arises.
Indemnity
If someone brings a claim against us because of Your Materials or instructions you gave us, you’ll cover our resulting losses and reasonable legal costs. For example, a claim that an image you supplied infringes their copyright.
Accessibility
We aim for our website to conform to the Web Content Accessibility Guidelines (WCAG) 2.2 at level AA. If something on it is hard for you to use, email us and we’ll fix it.
Changes to these terms
We may update these terms. We’ll email you at least 30 days before a material change takes effect. If you keep using your board after that, you accept the change. If you don’t accept it, you can cancel before it takes effect.
Disputes
Ohio law governs these terms. Before either of us sues, we’ll try to settle the dispute in good faith for 30 days after one of us notifies the other in writing. Any lawsuit goes to the state or federal courts in Ohio, and each of us agrees to their jurisdiction. Disputes are brought individually, not as part of a class or representative action.
General
- Entire agreement. These terms and our privacy policy are the whole agreement between us. Terms in your purchase orders or other documents don’t apply.
- Events outside our control. Neither of us is responsible for delays caused by events beyond reasonable control, such as outages, natural disasters or failures of third-party services. These events don’t excuse payment for work already approved.
- Notices. We send notices to the email on your account. You send them to the address below. Email counts as writing.
- Assignment. You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition or sale of our business.
- Severability and waiver. If part of these terms can’t be enforced, the rest still applies. Not enforcing a term isn’t a waiver of it.
- Survival. Terms that by their nature should outlast your board survive it, including ownership, confidentiality, payment, limitation of liability, indemnity and disputes.
